Miles Republic develops and markets a platform for searching and booking sporting events, accessible via the Internet to anyone interested.

The purpose of these general conditions of use of the Site (hereinafter “CGU”) is to set out the conditions of use of the Site, whether for simple navigation and/or for use of the Site's functionalities described in article 4 hereof.

Article 1 - Definitions

In the T&Cs, terms beginning with a capital letter have the following meaning and may be used indifferently in the singular or the plural:

“CGU” means these general conditions of use of the Site.

“User Account” means the individual account that the User has the option to create when registering on the Site.

“Partner” means any professional or non-professional organizer of sporting events whose service offers are marketed by Miles Republic on the Site in the name and on behalf of the Partner.

“Miles Republic” means the trade name and registered trademark of the company Olympyk, a simplified joint stock company with capital of 40,000 euros registered with the RCS of Lille under number 888 926 763 and having its registered office at 71, quai de l'Ouest, 59000 Lille, publisher of the Site.

“Site” means the website operated by Miles Republic accessible at the following URL: www.milesrepublic.com

“User” means any person (natural or legal) browsing the Site, whether or not they have a User Account.

Article 2 - Acceptance of the T&Cs

The User is presumed to know and accept, without reservation, all of the T&Cs by the sole fact of browsing the Site, regardless of the digital reception terminals used.

The User is invited not to browse the Site and not to use the Site if he/she does not accept all or part of the T&Cs, any browsing on the Site constitutes unconditional acceptance of the T&Cs. The User is thus invited to read the T&Cs each time he/she uses the Site.

Article 3 - Description of the Site's functionalities

3.1 - Searching for and booking sporting events

The Site lists certain sporting events organized by Miles Republic, its Partners, or any third party, which take place in France or abroad.

The Site allows the User to search for and find sporting events based on a location, type of race or date as well as to obtain information on sporting events.

The Site allows the User to register for sporting events via the registration service made available to them. As part of this service, Miles Republic collects from the User certain information required by the Partner or by Miles Republic for the management of the sporting event. This information may, where applicable, include the name, address, contact details, date of birth, gender and a certificate of no contraindication to the practice of sport. They are processed in accordance with the Miles Republic Privacy Policy.

For certain sporting events, the User may be authorized by other persons from whom he has received express authorization to proceed with registration.

In the event of registration by the User, for himself or for other persons from whom he has received express authorization, for one of the sporting events via the registration service made available to him by Miles Republic, the General Terms and Conditions available here apply.

When the Site promotes or refers to certain sporting events that are not organized by Partners or by Miles Republic and for which the registration service is not available, the User who wishes to register for these events is invited to redirect directly to the website of the organizer concerned, where applicable, using the hyperlink made available to him on the Site.

3.2 - Creation and use of a User Account

The Site allows the User to create a User Account.

To create a User Account, the User can click on the “Register” feature and then enter a valid email address, a password and any other information necessary to create the User Account. The User can alternatively choose to create his User Account through the authentication services provided by Facebook, Google or Strava, in which case Miles Republic collects the same information from these third parties. Finally, the User can create his User Account during or after booking a sporting event, the information provided for the reservation is then used to create the User Account.

In any event, the information collected by Miles Republic for the creation of a User Account is processed in accordance with the Miles Republic Privacy Policy.

The User Account allows the User to save sporting events in their favorites; to access the calendar of sporting events that they have saved in their favorites; to keep a record of the events in which they have participated or intend to participate; to be notified of any changes related to a sporting event for which the User has registered; to share their upcoming challenges via social networks.

The User may, at any time, modify his preferences by adjusting the settings of his User Account.

The User has the possibility to delete his User Account at any time and for any reason, by clicking on the “Delete my account” functionality.

3.3 - Communication with Miles Republic

The User may, at any time, communicate with Miles Republic via the contact form made available on the Site.

Article 4 - Access and use of the Site

4.1 - Technical prerequisites

In order to access the Site, it is necessary to have access to the Internet, any corresponding costs being the responsibility of the User. The User must also have all necessary equipment, and in particular a terminal, or any other connection tool, in order to ensure this connection to the Internet network.

The Site is configured for standard browsers or operating systems. The Site's compatibility with another type of configuration cannot be guaranteed.

The creation of a User Account is necessary to use the functionalities of the Site described in article 4.2 hereof.

4.2 - Availability

Miles Republic undertakes to use its best efforts to ensure that access to and operation of the Site are provided 24 hours a day, 7 days a week without interruption. However, Miles Republic does not guarantee that the operation and use of the Site are continuous and free from any malfunction.

Miles Republic undertakes to carry out regular checks to verify the operation and accessibility of the Site. As such, it is possible that access to the Site may be temporarily suspended for maintenance purposes. Where applicable, Miles Republic informs Users of these maintenance periods and limits the inconvenience caused.

Miles Republic cannot be held liable in the event of unavailability, interruption or malfunction of the Site, for any reason whatsoever and in particular in the event of maintenance of the Site or the servers on which they are hosted, intrusion by third parties or force majeure.

Miles Republic cannot be held responsible for any inconvenience or damage inherent to the use or unavailability of the Internet, such as the presence of computer viruses or spyware.

4.3 - Refusal, suspension and interruption of access

Miles Republic is free to refuse, interrupt or suspend a User's access to all or part of the Site, in particular for operational or maintenance reasons, in the event of use of the Site that does not comply with the provisions hereof, or for any other reason, at any time.

Miles Republic also reserves the right to modify, suspend, delete all or part of the Site without notice.

Miles Republic cannot be held liable for these events, and for the consequences that may result for Users or third parties.

Article 5 - User Obligations

The User agrees to comply with the T&Cs when browsing and using the Site.

The User acknowledges that the following behaviors are strictly prohibited and may give rise to any action to repair any damage caused, including the termination of any agreement that binds him to Miles Republic:

• any behavior likely to interrupt, suspend, slow down or prevent access to the Site;
• any intrusions or attempted intrusions into Miles Republic systems;
• any misappropriation of the Site’s system resources;
• any actions likely to impose a disproportionate burden on Miles Republic’s infrastructure;
• any breaches of security and authentication measures;
• any acts likely to harm the financial, commercial or moral rights and interests of Miles Republic and those of other Users;
• any action aimed at monetizing, selling, lending or granting all or part of access to the Site, as well as to the information hosted and/or shared there.

The User is informed that all laws and regulations in force are applicable on the Internet.

When using the Site, the User undertakes, both with regard to Miles Republic and other Users and, in general, any third party, to:

• provide accurate, up-to-date, true and complete data;
• not to usurp, in whole or in part, the identity, title or quality of a third party;
• respect access management and in particular not hide one's true identity by connecting under the personal settings of another User;
• notify Miles Republic of any logical and technical malfunctions that it may observe and any anomalies that it may discover, such as in particular unauthorized intrusions into its User Account;
• ensure that any file transmitted or saved on the Site does not contain any virus or malicious program.

In the event of non-compliance with the principles set out above or, more generally, of infringement of the laws and regulations in force, Miles Republic reserves the right to suspend or refuse access, without notice or compensation, temporarily or permanently, to all or part of the Site and to take any appropriate measure.

Article 6 - User Responsibility

Any User who uses the Site acknowledges that he or she does so under his or her full and exclusive responsibility. In particular, he or she acknowledges that he or she is solely responsible for sharing any content on the Site, including any sporting event listed on the Site, via social networks or by email to third parties.

The User acknowledges that any breach of the T&Cs may incur liability and may in particular result in the suspension or termination of their User Account as well as the immediate refusal to access all or part of the Site.

The User is notably responsible for all claims, liabilities, damages, costs and expenses suffered or incurred by Miles Republic, following a violation of these conditions.

Article 7 - Liability of Miles Republic

Miles Republic strives, on the basis of an obligation of means, to make the Site available diligently and in accordance with the rules of the art.

Use of the Site is granted to the User without any guarantee or declaration of any nature whatsoever, express or implied, in particular relating to the quality of the functionalities which are offered on the Site or their suitability for a particular use by the User.

In addition, the information contained on the Site relating to sporting events organized by Partners or third parties is provided for information purposes only. Miles Republic gives no guarantee of any kind with regard to this information and cannot be held responsible for the form, nature and content of these events and in particular their compliance with applicable regulations.

When Miles Republic recommends certain events to the User, it is the User's sole responsibility to determine whether he/she wishes and is able to participate in an event (whether or not Miles Republic has recommended it), Miles Republic being in no way responsible in the event that the User participates in an event that has been suggested to him/her, the User being the only one able to determine his/her own abilities.

In any event, Miles Republic cannot be held liable for any direct or indirect damage (financial and profit losses in particular) that the User may suffer, for any reason whatsoever, due to their connection to the Site, the inability to access or connect to the Site, or the non-functioning or functioning of the Site.

This particularly concerns damages that may arise from inaccurate content, errors, slowness or interruption in transmission, loss, disappearance or alteration of data, viruses, whatever their origin, intrusions by third parties, and more generally from the use of the Site or the impossibility of using it.

Article 8 - Personal data

The User is responsible for the data that he communicates to Miles Republic and declares that the data provided when creating his User Account or using the Site are accurate.

The User is solely responsible for maintaining the confidentiality of his User Account, his password and all actions that may be carried out under the identification of the User Account and/or with his password. In the event of loss or theft of his password, the User may replace it by using the “Forgotten password” functionality.

If the User suspects that a third party has accessed his Account or used the Site through his User Account without his authorization, he must immediately inform Miles Republic so that it can suspend the User Account and the User can create a new one.

The User is invited to read the Miles Republic Privacy Policy in order to know how his/her personal data is processed and how Miles Republic uses cookies and other similar technologies.

Article 9 - Hypertext links and partner sites

The User acknowledges that hypertext links set up by third parties to the Site cannot engage the responsibility of Miles Republic.

Furthermore, hypertext links integrated into the Site to other websites or other sources of information managed by third-party sites, cannot engage the responsibility of Miles Republic with regard to the content, advertisements, products or services available on these external sites, Miles Republic exercising no control over the content of these sites, which the User acknowledges and accepts. Consequently, the User is invited to read the general conditions and confidentiality policies of these websites before using them.

When the Site promotes or refers to sporting events that are organized by third parties and for which the registration service is not available, Miles Republic cannot be held liable for the quality and/or specifications of the products and services sold by these third parties, nor for the payment transactions carried out on these sites.

Article 10 - Intellectual property

The design and content of the Site and in particular all photographs, texts, comments, illustrations, images, animated or not, video sequences, sounds, as well as all computer applications used for the operation of the Site and more generally all elements reproduced or used on the Site that belong to Miles Republic, that have been licensed to Miles Republic or that are subject to lawful use, are protected by the laws and regulations in force and in particular the provisions of the Intellectual Property Code. All property and moral rights relating to these elements remain the sole property of Miles Republic and, where applicable, the Partners.

Only the rights of access and use of the Site are recognized to the User. Any reproduction, representation, republication, redistribution, use, transformation or adaptation, in any form whatsoever, of all or part of the aforementioned elements, including computer applications, as well as any operation aimed at accessing the source code of the Site, its database or any element likely to be protected by an intellectual property right, without the prior written consent of Miles Republic are strictly prohibited. The User acknowledges that the use of automated systems or software aimed at extracting data from the Site for commercial purposes (screen scraping) is strictly prohibited. In addition, the Miles Republic brand and, where applicable, the brands and logos of the Partners or third parties appearing on the Site are registered trademarks. Any total or partial reproduction of these brands and/or logos, without the written authorization of Miles Republic or, where applicable, the Partners or third parties is strictly prohibited.

The User acknowledges that failure to comply with the provisions of this article may incur both civil and criminal liability and may give rise to legal proceedings, particularly for counterfeiting.

Article 11 - Complaints – Technical support

In the event of a complaint or technical difficulty relating to the use of the Site, the User may contact Miles Republic via the contact form. Miles Republic will respond to the User as soon as possible.

Article 12 - Amendment

The User is expressly informed that the current version of the T&Cs is the one posted online on the Site on the date of access to the Site, which the User acknowledges and accepts without reservation.

Miles Republic reserves the right to modify the terms and conditions of the T&Cs at any time. The User is therefore advised to consult the T&Cs and read them each time they visit the Site since they may be modified at any time and to keep a copy of them.

Changes to the T&Cs are binding on the User as soon as they are posted online.

Article 13 - Nullity and independence of clauses

In the event that any provision of the T&Cs is deemed by a competent court to be void or unenforceable, in whole or in part, under the law, this provision will, to the extent necessary, be deemed to no longer be an integral part of the T&Cs. Nevertheless, the legality, validity and binding nature of the other provisions of the T&Cs will remain fully in force and will produce their effects.

Article 14 - Applicable law and competent jurisdiction

The T&Cs are governed by French law.

Any dispute to which these T&Cs may give rise, concerning their validity, interpretation, execution, consequences and follow-ups and which could not be resolved between Miles Republic and the User will be submitted to the competent courts under the conditions of common law.

The User is informed that in accordance with Article L. 612-1 of the Consumer Code, he/she may in any event resort to conventional mediation, in particular with the Consumer Mediation Commission or with existing sectoral mediation bodies, the references of which appear on the Site or to any alternative dispute resolution method (conciliation, for example) in the event of a dispute.

Given the nature of Miles Republic's services, the User may in particular choose to use the Mediator of the Professional Federation of E-commerce and Distance Selling (FEVAD).
